These Terms of Use ("Terms") are a binding agreement between you ("you," "your," or "Customer") and Differson LLC ("Differson," "Clancy," "we," "us," or "our") governing your access to and use of Clancy — our API, hosted inference service, dashboard, and related websites (together, the "Service"). By creating an account, generating an API key, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
You must be at least 18 years old to create an account. By creating an account you represent and warrant that you are at least 18, that all registration information you submit is accurate and truthful, and that you will maintain the accuracy of that information. The Service is not directed at, and we do not knowingly collect personal information from, anyone under 13. If we learn that we have collected personal information from a child under 13, we will delete it promptly.
You are responsible for maintaining the confidentiality of your account credentials and any API key issued to you, and for all activity that occurs under your account or API keys, whether or not authorized by you, except to the extent caused by our own negligence or misconduct. Notify us immediately at contact@differson.net if you suspect unauthorized access. API keys are shown once at the time of creation and cannot be retrieved again — if a key is lost, compromised, or exposed, regenerate it from your dashboard immediately; regenerating a key permanently revokes the previous one.
Clancy provides API access to an intervention-model — a language model trained to read intent, decide on a response strategy, and deliver accordingly, as described on clancy.info. Current tiers, included quotas, and pricing are published at clancy.info/pricing and may change from time to time; material pricing changes will be communicated in advance and will not apply retroactively to a billing period you have already paid for. Clancy is under active development. The model, its behavior, available tiers, rate limits, and features may change, and features may be added, modified, or discontinued at any time.
Fees for paid tiers are billed through Stripe, our payment processor, according to the pricing and billing cadence published at the time of your purchase. Some tiers charge a recurring subscription fee; some or all of your usage may additionally be metered and billed based on actual consumption in a given billing period. You authorize us to charge your payment method on file for all applicable fees, including recurring and metered charges, until you cancel.
You are responsible for any taxes, duties, or similar governmental assessments applicable to your use of the Service, exclusive of taxes based on our net income, unless otherwise stated at checkout.
Accidental-charge exception: if you did not intend to subscribe or complete a purchase, and your account shows zero API usage for the billing period in question, you may request a full refund by emailing contact@differson.net within seven (7) calendar days of the charge. We will verify that no usage occurred during that period and, if confirmed, refund the charge in full. This exception exists solely for genuinely accidental or unintended charges — it does not apply once you have used the Service during the period in question, and requests made after the seven-day window will not be honored except as required by applicable law.
Changes we make to the Service — including updates to the model, its behavior, available features, rate limits, or the discontinuation of a feature — do not, on their own, entitle you to a refund, credit, or exemption from fees already incurred.
If a scheduled payment fails, your account status changes to "past due" and API access is suspended until payment is resolved. We may make further collection attempts and, if payment is not resolved within a reasonable period, may cancel your subscription.
Input. As between you and us, you retain all rights you already hold in the content you submit to the Service ("Input"). You represent that you have all rights necessary to submit your Input and that doing so does not violate any law or any third party's rights.
Output. Subject to your compliance with these Terms, we assign to you our rights, if any, in the content generated by the Service in response to your Input ("Output"). Because Output is generated by an automated system, it may be inaccurate, incomplete, or unsuitable for your purpose, and it may resemble Output generated for other users under similar circumstances, since the model does not know what any other user has been given. You are solely responsible for evaluating the accuracy and appropriateness of Output before relying on, publishing, or acting on it, and for ensuring your use of Output complies with applicable law.
By submitting Input, you consent to our processing of it as described in Section 6 below and in our Privacy Policy.
Operating the Service requires us to collect and process account information, billing information, and the content and metadata of your API requests. By creating an account and using the Service, you acknowledge that this data is collected as described in our Privacy Policy, and you consent to that collection, use, and processing. If you do not consent, do not create an account or use the Service. Our Privacy Policy explains in detail what we collect, why, how long we keep it, and the rights available to you.
You agree that you will not, and will not permit any third party to, use the Service to:
We may suspend or terminate your access to the Service, without refund, if we reasonably believe you have violated these Terms, failed to pay applicable fees, or used the Service in a way that creates risk or legal exposure for us or others. You may cancel your subscription and stop using the Service at any time from your dashboard; cancellation is subject to the refund terms in Section 4.1.
The Service, including all Output, is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that Output will be accurate, complete, or reliable. Output is not professional advice — medical, legal, financial, or otherwise — and should not be treated as such.
To the maximum extent permitted by law, in no event will Differson LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Differson LLC's total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Differson LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your Input or your use of Output; (b) your violation of Section 7 (Acceptable Use) or any other provision of these Terms; (c) your violation of any applicable law; or (d) your violation of any third party's rights. This obligation survives termination of your account.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notice before the change takes effect. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
